Vmodel AI Terms of Use

Welcome to Vmodel AI! Before using our products and services, please carefully read and fully understand these Terms of Use (hereinafter referred to as the "Terms"). These Terms constitute a legally binding agreement between you (hereinafter referred to as "User") and Vmodel (hereinafter referred to as "we," "us," or "the Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety.

1. Acceptance of Terms

By accessing, browsing, or using the Platform, you confirm that you have thoroughly read and understood these Terms and voluntarily agree to be bound by them. If you do not agree with any part of these Terms, you must not use the Platform or any related services.

2. Description of Services

Vmodel AI is committed to providing AI-powered application services via APIs. Users may upload input content ("Input") to the Platform, which then generates corresponding output results ("Output") using pre-trained or user-defined models. While we continuously optimize our technology and services to ensure high efficiency, stability, and scalability, we do not guarantee uninterrupted, timely, or accurate service.

3. User Accounts

  1. Users must register and create an account using lawful and valid methods and ensure that all information provided is true, accurate, complete, and kept up to date.
  2. Users are responsible for safeguarding their account credentials and must prevent unauthorized access or use. All activities under a user's account are the sole responsibility of the user.
  3. If any abnormal activity or security breach is discovered, the user must promptly notify us so that appropriate measures can be taken to prevent further damage.

4. Acceptable Use Policy

When using the Platform, users must comply with applicable laws and these Terms. The following behaviors are strictly prohibited:

  • Violating any applicable laws, regulations, or policies;
  • Uploading, posting, or distributing unlawful, harassing, obscene, abusive, discriminatory, threatening, hateful, violent, false, or otherwise inappropriate content;
  • Unauthorized access, disruption, attack, or damage to the Platform's servers, network infrastructure, or technical systems;
  • Copying, modifying, selling, transferring, or otherwise exploiting the Platform's content, services, or technology without permission;
  • Using automated tools (such as crawlers, bots, or scripts) to access, scrape, or interfere with the Platform;
  • Engaging in any activity that disrupts normal Platform operations or negatively affects other users' experience.

5. Intellectual Property

  1. All content, features, technology, software, interfaces, trademarks, and related materials provided by the Platform are the intellectual property of Vmodel AI or its authorized licensors and are protected by copyright, trademark, patent, and other applicable laws.
  2. Users retain full ownership of any Input they upload. However, users grant Vmodel AI a worldwide, royalty-free, non-exclusive license to use such content for the purpose of delivering services, system optimization, technical improvements, or legal compliance.
  3. Users may not reverse engineer, decompile, disassemble, or attempt to extract the source code or technical details of any part of the Platform.

6. Privacy Protection

We value user privacy and data security. Personal and business data generated during the use of our services will be collected, used, stored, and protected in accordance with our Privacy Policy, which may be updated from time to time. Users must read and understand this policy before using the Platform.

7. Disclaimer

  1. The Platform is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  2. Vmodel AI shall not be liable for any direct, indirect, incidental, consequential, or special damages (including but not limited to loss of profits, data loss, or business interruption) resulting from the use or inability to use the Platform.

8. Indemnification

If a user's actions violate these Terms or infringe on the rights of third parties, resulting in claims, damages, liabilities, costs, or expenses (including reasonable attorney fees and investigation costs), the user agrees to fully indemnify, defend, and hold harmless Vmodel AI, its affiliates, employees, agents, and licensors.

9. Changes to Terms and Termination of Service

  1. We reserve the right to update or modify these Terms from time to time based on business needs, legal requirements, or other reasonable grounds. Changes will be published on this page with an updated effective date, and users are responsible for reviewing them periodically.
  2. Continued use of the Platform after any modifications shall constitute acceptance of the updated Terms.
  3. We reserve the right to suspend, interrupt, or terminate a user's access to the Platform at any time, for any lawful reason, and without prior notice.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the People's Republic of China. In the event of any dispute arising out of or related to these Terms, both parties shall first attempt to resolve the issue amicably through negotiation. If such negotiations fail, either party may submit the dispute to the competent People's Court located in the jurisdiction of Vmodel AI's place of registration.
